1. Acceptance of Terms

By downloading, accessing, or using the VelvetFlow mobile application (“VelvetFlow,” “the App”), you agree to be bound by these Terms of Service (“Terms”). These Terms constitute a legally binding agreement between you and Cultural Bridge Labs LLC (“we,” “our,” or “us”). If you do not agree to these Terms, you must not access or use the App.

2. Eligibility

You must be at least 18 years of age to use the App. By using the App, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.

3. User Accounts

3.1 Registration

To use certain features of the App, you must create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

3.2 Account Security

You are responsible for safeguarding your password and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.

3.3 Account Termination

We reserve the right to suspend or terminate your account at our sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason.

4. User Conduct

You agree not to:

• Use the App for any illegal purpose or in violation of any laws
• Post or transmit content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable
• Impersonate any person or entity, or falsely state or misrepresent your affiliation with a person or entity
• Interfere with or disrupt the App or servers or networks connected to the App
• Attempt to gain unauthorized access to any portion of the App
• Collect or store personal data about other users without their express consent
• Use the App to send spam, chain letters, or other mass unsolicited messages
• Upload or transmit any material that contains viruses, Trojan horses, worms, or any other harmful or destructive code

5. Content

5.1 User Content

You retain ownership rights to content you submit, post, or display on or through the App (“User Content”). By providing User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, distribute, and display such User Content.

5.2 Content Responsibility

You are solely responsible for your User Content and the consequences of posting or publishing it. We do not endorse any User Content or any opinion, recommendation, or advice expressed therein.

6. Intellectual Property Rights

6.1 App Content

The App and its original content, features, and functionality are owned by Cultural Bridge Labs LLC and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

6.2 License to Use the App

We grant you a limited, non-exclusive, non-transferable, revocable license to use the App for your personal, non-commercial use, subject to these Terms.

7. Third-Party Links and Services

The App may contain links to third-party websites or services that are not owned or controlled by us. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party websites or services.

8. Disclaimer of Warranties

THE APP IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

9. Limitation of Liability

IN NO EVENT SHALL CULTURAL BRIDGE LABS LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES WHATSOEVER ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE APP.

10. Indemnification

You agree to defend, indemnify, and hold harmless Cultural Bridge Labs LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including without limitation reasonable attorney fees and costs, arising out of or in any way connected with your access to or use of the App, your violation of these Terms, or your violation of any rights of another.

11. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days’ notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of [Your Jurisdiction], without regard to its conflict of law provisions.

13. Dispute Resolution

Any dispute arising out of or relating to these Terms or the App shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

15. Entire Agreement

These Terms constitute the entire agreement between you and Cultural Bridge Labs LLC regarding the App and supersede all prior and contemporaneous agreements, proposals, or representations, written or oral, concerning its subject matter.
